The scope of the learning of this unit is to prepare Students to business relations and their legal
implications
Semestral
Notion of Commercial Law. Civil Law as a subsidiary right of Commercial Law. Trade Acts Merchants
Notion of merchant Spouse's liability for commercial debts. Special obligations of traders Business name
and denomination. Transfer of the firm. Industrial Property Rights in general. The commercial register.
Commercial bookkeeping. Balance and accountability. The Commercial Company - Legal Structures of
the Company Transfer Establishment lease Recovery of companies in insolvency proceedings Credit
Securities. Commercial contracts 7.1. Agency Agreement 7.2. Commercial concession agreement 7.3.
Franchise agreement 7.4. Financial lease agreement (leasing) 7.5. Financial assignment agreement
("Factoring") 7.6. Insurance contract
Bearing in mind that the adopted methodology, study and research methods and techniques seek to an
approach to problem-based learning, the following points out: goals:
1.Provide the acquisition and development of basic notions about commercial law, cartular, its
terminology and the general principles of commercial law.
2. Provide the acquisition of knowledge about the current legal regime and its application, as well as as
the acquisition of critical analysis skills.
3. Develop the student's ability to understand the legal relationships established in the commercial
activity.
4. Analyze critically the main doctrinal and jurisprudential currents on the matter, also developing the
capacity for written and oral argumentation.
Mandatory
Theoretical-practical sessions, exposition of the syllabus accompanied with the model participation and
interaction of students and practical sessions, assuming the teacher the tutorial function, where
knowledge will be exercised and consolidated, through the resolution of practical problems, analysis texts
and clarification of doubts. The student's autonomous work (study, solving preparation for classes and
preparation of a report), with the support of the teacher. Assessment: Intends to measure the acquisition
of the following areas of competence: Domain of Subjects; Ability to interpret legal texts; Domain of oral
expression; Capacity of essay ; Ability to apply the theoretical concepts acquired; resolution capacity
problems. The Continuous assessment is composed of: 2 Tests (50%); Systematic oral assessment in all
classes, including questions and solving practical cases (50%).
